License Agreement
about using Evocommerce software products
1. Terms and definitions
1.1. Licensor is Evocommerce (including affiliates), which is the copyright holder of the software products.
1.2. Licensee (Client) - an individual or legal entity who has legally obtained the right to use Evocommerce software products.
1.3. Evocommerce software products are a set of software, including, but not limited to:
Evocommerce CMS;
applications (Apps), modules, plugins;
ready-made online stores Boutique, Store, Megastore;
updates, patches, technical documentation.
1.4. License - a limited right to use software products under the terms of this Agreement without transfer of ownership.
2. Subject of the Agreement
2.1. The Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use Evocommerce software products in accordance with the selected package or version.
2.2. None of the provisions of this Agreement provide for the alienation of intellectual property rights to software products.
3. Terms of use of ready-made online stores
(Boutique / Store / Megastore)
3.1. In case of purchasing a ready-made online store Boutique, Store or Megastore, the Licensee receives:
3.1.1. Right of perpetual use:
Evocommerce CMS;
all applications included in the relevant package and installed at the time of transfer, in the version of the last update when the support license was active.
3.1.2. Unlimited functional use of installed applications, without restrictions on the number of:
goods;
orders;
users;
visitors;
subject to compliance with this Agreement.
3.2. The license is limited to use within a single Internet project, unless otherwise expressly provided for in the agreement.
4. Support and Update License
4.1. The cost of ready-made online stores includes a term license for:
technical support;
Evocommerce CMS update;
updating installed applications.
4.2. After the expiration of the support license:
The licensee does not lose the right to use the software products;
the system functionality is not blocked or limited (except for the right to receive updated versions).
4.3. Non-renewal of the license means:
restricting access to new updates;
technical support limitations;
lack of guarantees of compatibility with future technologies.
4.4. The Licensor is not responsible for the operation of the system after the end of support.
5. Evocommerce CMS Free
5.1. Evocommerce CMS Free is provided under a limited license for:
testing;
independent development;
educational or experimental projects.
5.2. CMS Free:
comes without accessories;
does not include technical support;
may have functional and technical limitations.
5.3. The Licensor does not guarantee the stable operation of CMS Free and is not responsible for any consequences of its use.
6. Limitations of Licensee's rights
6.1. The Licensee is strictly prohibited from:
transfer software products or access to them to third parties;
sell, rent, sublicense software products;
use software products as the basis for competing CMS or SaaS solutions;
remove or hide copyright notices;
decompilation, reverse engineering, code intervention in order to circumvent license restrictions.
6.2. All modifications made by the Licensee do not grant him rights to the Evocommerce source code.
7. Responsibility of the parties
7.1. Software products are provided "AS IS".
7.2. The Licensor is not responsible for:
data loss;
hosting or server failures;
actions of third parties;
financial or reputational losses to the Licensee.
7.3. The Licensor's maximum liability is limited to the amount actually paid by the Licensee for the support license for the last paid period.
8. Termination of license
8.1. The license may be terminated in the event of a material breach of this Agreement.
8.2. In the event of termination of the license, the Licensee is obliged to:
stop using software products;
delete copies of the software.
9. Final provisions
9.1. The Agreement is governed by the laws of Ukraine.
9.2. All disputes shall be resolved through negotiations, and in the event of failure to reach an agreement, in the court at the location of the Licensor.
9.3. The invalidity of individual provisions does not affect the validity of the Agreement as a whole.
